German pay-TV operator Sky Deutschland is to take over TV production company Plazamedia and become a shareholder in TV broadcaster Sport1 and marketing company Constantin Sport Marketing.
The agreement was reached on 5 December with parent company Constantin Sport Holding, part of media group Constantin Medien.
Sky will purchase 100% of the shares in Plazamedia and a 25.1% stake in both Sport1 and Constantin Sport Marketing, paying a total of around €57.5 million for the whole share package.
"Plazamedia is one of our long-term and highly respected business partners. Today's agreement marks the next step towards the full integration of key customer-facing operations," Sky CEO Brian Sullivan said. "Following the insourcing of Premiere Star, Creation Club, logistics provider Loxxess and Premium Media Solutions, Plazamedia will allow us to accelerate innovation on-screen and leverage future technology developments such as Ultra HD. It also opens opportunities for synergies and supports us to further drive efficiencies."
Plazamedia is one of the leading sports TV producers in the German-speaking markets. The company provides production services for more than 1,000 football matches for Sky Deutschland each year as well as Sky's studio shows such as Sky90 and Samstag LIVE!. It is also a production partner for the Sky football multi-match conference as well as Formula One.
Sport1 operates the free-to-air channel Sport1, pay-TV channels Sport1+ and Sport1 US, Web portal Sport1.de and radio station Sport1.fm. Constantin Sport Marketing markets the group-owned sports brands and third-party brands.
The transaction, which is expected to be closed in the first half of 2014, is subject to regulatory approvals.
