Premiere successfully completes capital increase from authorized capital
According to a press release published by Premiere on 14 January, Premiere has fully placed the first of two planned capital increases. The rights issue from authorized capital comprised 10,223,636 million new shares at a subscription price of EUR 3.76 per share. The proceeds of the capital increase amount to EUR 38.44 million.
Together with a short-term bridge funding provided by a bank syndicate, the proceeds of the rights issue will provide Premiere with a total of EUR 50 million in January to satisfy funding needs through to the completion of the second capital increase planned for the first half of 2009.
Existing Premiere shareholders were granted subscription rights with a ratio of 1 new share for each 11 existing shares. No subscription rights trading and no public offer took place. The new shares are expected to be included in trading on 16 January 2009.
As a result of the capital increase, Premiere increased its registered share capital by EUR 10,223,636 from EUR 112,460,000 to EUR 122,683,636. ABN AMRO Bank N.V. and UniCredit (Bayerische Hypo- und Vereinsbank AG) led the capital increase.
