TF1 Group finalizes TMC, NT1 takover

Within a few weeks, TF1 Group will have strengthened its position in France’s digital-terrestrial TV market. The group is finalizing the full acquisition of Groupe AB’s NT1 and its 40% stake in co-owned channel TMC.

Both channels are respectively the fifth and first in French DTT channels, measured by audience. The amount TF1 may invest in this operation could be as high as €192 million.

Through a new company, TF1 would also be present in AB’s other pay-TV, satellite platform and programme distribution activities. Claude Berda’s group would keep 66.5% of this company with an option to acquire TF1’s stake for an amount of €155 million within two years.

TF1 would also increase its stake from 33.5% to 49% in Claude Berda’s holding company WB Television, for a total amount of €1.5 million. The company controls French-language Belgian channels AB3, AB4 and Videoclick.
