Freenet, the German telco, has acquires all outstanding shares of waipu.tv from the minority shareholders. Based on the transaction, Freenet now holds 100 per cent of the shares in the German streaming platform.

The agreed initial purchase price amounts to around €76 million and sets a company valuation of around €300 million. Further purchase price payments depend on future performance-related targets and could reach up to €50 million.

“With the transaction, Freenet strengthens its position in a central growth area of the Group and is consistently expanding its presence in the dynamically growing German IPTV market. From the point of view of Freenet, the agreed initial purchase price corresponds to a very attractive valuation in relation to the long-term financial prospects of waipu.tv and thus creates a good starting point for the future performance. With the acquisition, Freenet will participate in the further development of earnings and cash flow from waipu.tv and the resulting value-added potential in the future,” Freenet said in a press release.

“IPTV is one of the most attractive growth markets in the German telecommunications and media sector. waipu.tv has established itself in recent years as one of the leading IPTV platforms in Germany and has excellent prospects for further profitable growth. With the complete acquisition, we secure comprehensive participation in this potential and strengthen a central strategic pillar. It is particularly pleasing that a good opportunity has arisen to be able to acquire the shares unexpectedly cheaply,” commented Robin Harries, CEO of Freenet.

“With the complete acquisition, we simplify the ownership structure of Exaring AG and provide long-term strategic clarity. A stock market listing so far sought by minority shareholders will not be pursued. At the same time, we manage to implement the transaction to a very attractive valuation in our view. In the future, our shareholders will fully participate in the further earnings, cash flow and performance of waipu.tv,” added Ingo Arnold, CFO of Freenet.
